Genesis Pool (GPool) reserves the right, at its sole discretion, to change, modify, add, or remove the content of these General Terms and Conditions at any time without notice. The amended terms and conditions shall become effective immediately. It is your responsibility to periodically review these General Terms and Conditions to see if any may affect you. Your continued usage of the Website following the changes shall mean that you accept and agree the amended Agreement.

The term Genesis Pool (GPool) or ‘us’ or ‘we’ or ‘our’ refers to the owner of the Website whose registered office is in the British Virgin Island. The term ‘you’ or ‘your’ refers to the user or viewer of our Website. The use of this Website is subject to the following terms of use:

• Grant of Use

If you comply with these General Terms and Conditions, Genesis Pool (GPool) grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Website.

• Age of Majority

Using the Website, you represent and warrant that you are at least 18 or 21 years of age, depending on the legal age of majority in your jurisdiction and that you have the required legal capacity to use the Website. If you are not at least 18 or 21 years of age, depending on the age of majority in your jurisdiction, you must exit the Website immediately and you may not use or access the Website whatsoever.

• Intellectual Property

All content, information, and material available through the Website are protected by copyrights, trademarks or other proprietary rights and laws. We, together with our licensors, own and control all the copyright, intellectual property rights and/or other proprietary rights and laws of our Website. We solely own all rights, titles and interests in and to the term “Genesis Pool”, (GPool), the domain name and all intellectual property rights related thereto. You are required to comply with these terms and conditions, the applicable laws, and regulations. You expressly agree that you will not conduct any unauthorised use of our Website, including but not limited to, (a) copy, store, host, transmit, send, use, sell or offer to sell, publish, transfer or distribute any material, information, intellectual property, or services provided on the Website, or; (b) altering, modifying, adapting, reverse engineering, decompiling, disassembling, or hacking any intellectual property, or; (c) in any way that is unlawful, illegal, fraudulent, or harmful, or in connection with any unlawful for any fraudulent or unlawful purposes, or; (e) take any action to interfere with the Website or any of the Website’s users, or; (f) use our Website in any way or take any action that causes, or may cause, damage to the Website or impairment of the performance, availability or accessibility of the Website.

Any exploitation of the Website or its defects, malfunctions, vulnerabilities, exploits or bugs (error in program/code) shall constitute a material breach of these terms and conditions and therefore, any financial gains obtained by the breaching party shall be considered void. We shall be entitled to the immediate reimbursement of any funds resulting from the breach.

Use of this Website is for personal use only. Any attempt to provision a new account for a user that already has an account on the same Website is prohibited and shall be identified as an abuse of the Website which shall be considered as unauthorised use.

Any person located or residents of the United States, North Korea, Iran or any other jurisdiction where using the Website is forbidden or restricted (‘Prohibited Jurisdictions’) shall be prohibited from using the Website. Any endeavour or act to evade these restrictions shall constitute a breach of these terms and conditions, which includes but is not limited to, any false or deceiving information concerning your place of residence or location. Any funds by a person located or residents of any of the “Prohibited Jurisdictions” shall be considered void and Genesis Pool (GPool) shall be entitled to the immediate return of any of the funds used for the Website to the user.

Unauthorised use of this Website may give rise to a claim for damages and/or be a criminal offence.

You acknowledge and agree that the Website supplied hereunder is provided on an “AS IS” or “as available” basis, with all conceivable errors. Genesis Pool (GPool) makes no warranties, express or implied, including but not limited to, any implied warranties of merchantability, aptness of the Website for a particular purpose, title or non-infringement or any warranty arising by usage of trade, course of dealing or course of performance or any other warranty that the Website will meet user’s requirements. Your use of any information, content or materials on this Website is entirely at your own risk, for which we shall not be liable.

Without limiting the foregoing, Genesis Pool (GPool) does not warrant or guarantee that the Website provided will be without failure, delay, interruption, or inaccuracies. Thereby, you acknowledge and agree that Genesis Pool (GPool) will not be liable for any losses or damages arising out of or relating, including but not limited to: (a) any inaccuracy, defect, or omission of digital currency price data, (b) any error or delay in the transmission of such data, or (c) interruption in any such data.

• Authority

Genesis Pool (GPool) shall retain all authority regarding all aspects of the Website, including but not limited to the issuance, overall maintenance of the Website and, in any event, its closing. Genesis Pool (GPool) shall have final and binding decision-making powers regarding the use of the Website and, in any case of a dispute, the settlement thereof.

• Representations and Warranties

By agreeing to these Terms of Service you represent and warrant that:

You confirm that you have full (legal) capacity, power, and authority to execute and comply with this Agreement, to use the Website, and to carry out and perform its obligations under this agreement. You warrant that accessing and using the Website is not unlawful in your applicable jurisdiction or in violation with any other domestic laws, regulations, or policies. This includes, but is not limited to, registration on a US/EU financial sanction list or financial terrorism list. In case any of these conditions apply while already using the Website (due to a change of circumstances), you are obliged, and therefore warrant to inform Genesis Pool (GPool) of the changes.

You acknowledge and understand that the use of the Website is at your own discretion and risk. Genesis Pool (GPool) shall not be liable to you in respect of any business losses, including (without limitation) loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities, or goodwill. Furthermore, Genesis Pool (GPool) shall not be liable to you in respect of any loss or corruption of any data, database, or software. Additionally, by using the Website you are responsible for any incurring taxes payable regarding the transactions or trading of cryptocurrency.

You warrant to be solely responsible for procuring and maintaining your network connections, internet access service or blockchain networks required to access and use the Website. You shall be solely liable for problems, conditions, delays, delivery failures and all other loss or damage arising from or relating to your network connections or blockchain networks, or internet connection.

You confirm and warrant to notify Genesis Pool (GPool) in the event you discover any defects, malfunctions, vulnerabilities, exploits or bugs (error in program logic/code) in the system of the Service. Any attempt or act of exploitation is unlawful and strictly forbidden under this Agreement. Genesis Pool (GPool) reserves the right to prosecute infringers when, in its sole judgement, such action may be reasonably necessary, proper, and justified.

• Limitations and Liability

Nothing in these terms and conditions will limit or exclude any liability for death or personal injury resulting from negligence, limit any liabilities in any way that is not permitted under applicable law; or exclude any liabilities that may not be excluded under applicable law.

The limitations and exclusions of liability set out in this Article and elsewhere in these terms and conditions are pursuant to Article 8.1 above and govern all liabilities arising under these terms and conditions or relating to the subject matter of these terms and conditions, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty, except to the extent expressly provided otherwise in these terms and conditions.

Genesis Pool (GPool) shall not be liable to you in respect of:

1. any losses arising out of any event or events beyond our reasonable control; or

2. any business losses, including (without limitation) loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities, or goodwill; or

3. any loss or corruption of any data, database or software; or

4. any special, indirect or consequential loss or damage.

5. You acknowledge that Genesis Pool (GPool) is a limited liability entity and that we shall limit the personal liability of our officers and employees. Consequently, you confirm not to bring any claim personally against our officers or employees in respect of any losses you suffer in connection with the Service or these terms and conditions.

• Know Your Customer and Anti-Money Laundering

Compliance with the Know Your Customer (‘KYC’) and Anti-Money Laundering (‘AML’) is not required by Genesis Pool (GPool) and we waive any and all related liabilities. We hereby grant full discretion to the Project(s) on our platform to voluntarily implement any mandatory norms and/or standards on ‘KYC’ and ‘AML,’ considering the nature and intention of the Projects that requires such policies. The Project launched on the Genesis Pool (GPool) platform shall be fully liable for facilitating the KYC and AML mandatory policies required by their user’s. Hereby, we reserve the right to process the KYC by requesting your identity documentation. We reserve the rights to share the identity documentation to third parties for the purposes of verification to complete the KYC and AML. We shall reserve the rights to take any and all necessary measures required to validate the user’s KYC and AML compliance. In the event of a violation of the laws regarding Anti-Money Laundering laws and regulations, Genesis Pool (GPool) shall fully cooperate with the Competent Authorities as necessary regarding any funds related to violating such laws concerning anti-terrorism financing and anti-money laundering.

• Third Party Rights

This Agreement is for our benefit and your benefit and is not subject to any third party. The terms and conditions are not intended to benefit or be enforceable by any third party.

• Assignment

You hereby agree that we may assign, transfer, sub-contract or otherwise deal with our rights and obligations under these terms and conditions at any time without any notice. You may not, without our prior written consent, assign, transfer or otherwise deal with any of your rights and obligations under these terms and conditions.

• Severability

If a provision of these terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions shall not be affected and shall continue to have effect. If any unlawful and/or unenforceable provision of these terms and conditions would be lawful and enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

• Governing Law and Jurisdiction

All matters arising out of or relating to this Agreement shall be governed by and construed in accordance with the internal laws of the British Virgin Islands.

Any disputes, differences, or claims arising out of or in connection with this Agreement, including with respect to its breach, termination, or invalidity, will be settled in the courts of the British Virgin Island.

• Convenient Forum

You agree that the courts of the British Virgin Island are the convenient and appropriate venue to settle disputes. Hereby, you irrevocably waive any objection which you may at any time have on the grounds of inconvenient forum or otherwise to the legal proceedings being brought in any such courts. You irrevocably agree that a judgment or order in any proceedings brought in the court shall be conclusive and binding upon it and may be enforced without review in the courts of any other jurisdiction. To the extent permitted by the applicable law, Genesis Pool (GPool) may simultaneously commence, any legal action or proceeding, in any other jurisdiction that is manifestly more closely connected other than that indicated in the governing law and jurisdiction law.

• Entire Agreement

These terms and conditions, shall constitute the entire agreement between you and us in relation to your use of our Website and shall supersede all previous agreements between you and us in relation to your use of our Website.
